Terms of use

  1. Definitions

    1. Suppliers' Portal (Portal) — the website https://d-retailer.com/ , through which orders/commercial proposals for the supply of goods, information about the goods, including but not limited to assortment, quantity of goods, as well as delivery conditions for the goods are posted.
    2. User — a legal entity using the Suppliers' Portal.
    3. Supplier — a User who has entered into a supply agreement with the Buyer.
    4. Candidate Supplier — a User who does not have a supply agreement concluded with the Buyer.
    5. Buyer — a legal entity represented on the Suppliers' Portal for the purpose of purchasing goods.
    6. Registration — a one-time process of creating a personal account for the User to gain access to the Portal's functionality by transmitting personal data to the server.
    7. Authorization — the process of verifying and granting the User rights of access to an existing account.
    8. Personal Account — the User's personal page on the Suppliers' Portal, which displays data about the User.
    9. Tender — information posted by the Buyer on the Suppliers' Portal containing details about the required assortment, quantity, and other characteristics of the goods needed by the Buyer.
  2. General Provisions

    1. These Rules govern the procedure for using the Portal for the purpose of supplying goods.
    2. The User's passage of Registration/Authorization is a mandatory condition for using the Portal. By undergoing Registration/Authorization, the User confirms familiarity with these Rules and accepts them in full. In case of disagreement with any provision of these Rules, the User has no right to use the Portal.
    3. These Rules may be amended at any time and without special notice to the User by publishing the updated version on the Portal. In this case, the User, by continuing to use the Portal, accepts the updated version of these Rules.
    4. The terms take effect from the moment of their publication on the https://d-retailer.com/ and are valid indefinitely.
  3. Registration/Authorization

    1. To use the Portal, the User must undergo Registration, as a result of which the User's Personal Account will be created.
    2. Registration is carried out via the "Become partner" button by providing the User's corporate email address, the full official name of the User, as well as the User's nickname consisting of:
      • The first word from the User's name if the name consists of two or more words;
      • The User's name if it consists of one word;
      The User's nickname does not constitute personal data. During Registration on the Portal, the User is prohibited from providing any personal data of any individual. An email with a confirmation code is sent to the corporate email address provided by the User, which must be entered in the corresponding field on the Portal.
    3. Authorization is carried out provided that the User is registered on the Portal. The User authorizes on the Portal's "Landing page" via the "Log in" button by providing the corporate email address and password. The User may change (reset) the password using the corporate email address.
    4. Undergoing Registration/Authorization constitutes the use by the User of a simple electronic signature. In this case:
      • the key to the simple electronic signature will be the password to the corporate email account,
      • the verification key for the simple electronic signature will be the corporate email address.
  4. Use of the Portal

    1. The User undertakes to provide accurate and complete data necessary for Registration/Authorization or use of the Portal. The User is responsible for their accuracy, completeness, reliability, and relevance. The User bears all consequences associated with providing unreliable, incomplete, or outdated data.
    2. All electronic documents formed, used, and sent by the User through the Portal's functions within one session (while the User is authorized on the Portal) are signed with a simple electronic signature (clause 3.4 of the Rules).
    3. Signing documents on the Portal may occur, including by the User placing a special symbol (checkmark) or pressing a special button next to the relevant document (link to the document) within one session.
    4. The User may manage their data in the Personal Account: change the password, configure the mailing list, add, edit, and delete User data through the corresponding interface fields.
    5. The User is responsible for the confidentiality of data for Registration/Authorization and the security of the device from which Registration/Authorization is performed. The User undertakes to ensure proper storage of the device, excluding access by third parties, and not to provide such third parties access to their Personal Account. All actions performed after successful Registration/Authorization are considered actions of the User.
    6. To ensure functionality and provide the User with appropriate features (e.g., correct display of Portal web pages), the Portal may collect and use certain technical information about user devices (e.g., screen resolution, operating system type). Additionally, the Portal may save settings and remember choices (e.g., language or region) made by the User when using the Portal.
    7. A Candidate Supplier, due to the absence of a supply agreement with the Buyer, has limited access to the Portal's functionality:
      • is entitled to upload their commercial proposals for the supply of goods to the Portal.
      1. A commercial proposal uploaded by the Candidate Supplier to the Portal, in case of interest from the Buyer, serves as grounds for concluding a supply agreement with the Candidate Supplier.
    8. A Supplier, due to the existence of a supply agreement with the Buyer, has full access to the Portal's functionality:
      • upload commercial proposals for the supply of goods to the Portal;
      • view the list of Tenders uploaded to the Portal;
      • review the terms of a specific Tender;
      • provide responses/information on a specific Tender;
      • review the results of a Tender for which the Supplier provided a response/information;
      • download the results of a Tender for which the Supplier provided a response/information.
    9. The User is prohibited from:
      1. registering under a "fake account" or "bot";
      2. distorting information about themselves or their relationships with other organizations;
      3. uploading, storing, or otherwise using any information that:
        • contains threats, rudeness, "trolling", discredits, insults, defames the honor and dignity or business reputation, or violates the privacy of other Users or third parties;
        • contains scenes of violence or cruel treatment of animals;
        • contains extremist materials;
        • mentions narcotic substances;
        • mentions alcohol and tobacco;
        • is vulgar or obscene, contains profanity, pornographic images and texts, or scenes of a sexual nature;
        • promotes and/or incites racial, religious, ethnic hatred or enmity, promotes fascism or the ideology of racial superiority;
        • promotes criminal activity or contains advice, instructions, or guides to committing criminal acts;
        • violates other rights and interests of other Users or third parties;
      4. distributing viruses, trojans, and other malicious programs;
      5. using automated scripts (programs) to collect information on the Portal and/or interact with the Portal;
      6. attempting to access another User's login and password;
      7. providing third parties with passwords to their account;
      8. posting and/or distributing information constituting an act of unfair competition.
  5. Other terms

    1. The User agrees and undertakes to keep confidential and treat as confidential all information obtained on the Portal when using the Portal (hereinafter — "Confidential Information"), and not to disclose, divulge, publicize, or otherwise provide Confidential Information to third parties.
    2. Rights to Confidential Information are not alienated, and no rights or licenses to use Confidential Information are granted to the User. The User has no right to copy or reproduce Confidential Information.
